Terms of Service

SoulMD Hub is operated by YSK Limited (the “Company”). Privacy enquiries: [email protected] | General: [email protected] | WhatsApp: +852 6160 4242. These are the only contact methods recognised under this Policy and the Terms of Service.

Privacy Policy · Terms of Service

1. Binding agreement and eligibility

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and YSK Limited. By creating an account, completing a purchase, using a guest session, or otherwise accessing the Service, you represent that you are at least 17 years of age and that you accept these Terms and the Privacy Policy. If you do not accept every provision, you must not use the Service.

The Company may refuse, condition, or withdraw access at its sole discretion. Use of the Service from any jurisdiction does not confer rights under any law other than the laws of Hong Kong, except mandatory provisions that cannot be excluded.

2. Nature of the Service; no professional advice

The Service is provided on an “as is” and “as available” basis. It permits browsing, creation, and chatting with AI personas, use of mini-applications, and optional paid tiers. Outputs are generated by machine-learning models and may be incomplete, false, offensive, or harmful. They are for entertainment, education, and cultural reference only. They are not medical, legal, financial, investment, or other professional advice.

You must independently verify any output before relying on it. The Company does not warrant uninterrupted, error-free, or secure operation, nor that any particular model, feature, quota, or persona will remain available. Paid access does not guarantee continuity, quality, or any result.

3. Strictly prohibited conduct

You must not use the Service for any unlawful purpose; for sexual content involving minors; to develop, distribute, or probe malware, exploits, or unauthorised access; to defraud, impersonate, or harass any person; to scrape, bulk-download, or overload the Service; to bypass payment, quota, or technical controls; or to interfere with other users or the Company’s systems. You must not upload content you do not have the right to upload.

The Company may investigate, suspend, throttle, remove content, or terminate accounts with or without notice where it suspects a breach. The Company has no duty to monitor all content and no liability for failing to detect a breach.

4. Your content and licence

You retain ownership of Souls you upload, subject to these Terms and any applicable NFT or smart-contract terms. If you set a Soul or chat to public, you grant the Company and other users a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable licence to host, reproduce, display, fork, adapt for technical delivery, and otherwise use that public content in connection with the Service.

You warrant that your content is lawful and that the licence you grant does not infringe any third-party right. The Company may remove, hide, or refuse any content at any time, with or without notice and without liability, including content that is lawful. NFT assets on NEAR are governed by their contracts; the Company is not a party to on-chain transfers and does not recover lost keys or tokens.

5. Reporting

You may report allegedly unlawful or abusive Souls or chats from the persona page, the chat screen, or by writing to [email protected] with the URL. A report does not oblige the Company to investigate, to act within any time, to notify you of the outcome, or to remove the material. The Company may ignore incomplete, abusive, or repetitive reports.

6. Purchases, digital supply, and no refunds

Website upgrades may be paid through PayPal or NEAR. iOS and Android upgrades use Apple or Google in-application products granting non-renewing thirty-day access. Completing a purchase supplies digital content immediately. Accordingly, except where Apple’s or Google’s rules or mandatory Hong Kong law require otherwise, all payments are strictly non-refundable, including for partial use, dissatisfaction, account termination for breach, or Service interruption.

The rules of the relevant application store prevail over any in-application statement in the event of conflict. Purchasing a further thirty days extends the same tier. PRO does not convert to VIP while PRO remains active. The mobile applications will not steer you to a cheaper website price. Prices and entitlements may change prospectively. The Company is not responsible for store fees, chargebacks initiated against a store, or blockchain transaction failure.

7. Suspension, limitation, and termination

The Company may, at any time and in its sole discretion, suspend, rate-limit, modify, or terminate the Service or your account, with or without cause and with or without notice. Paid time remaining does not create a right to uninterrupted access or to a refund, except where mandatory law so requires. Upon termination, licences you granted in public content survive. Provisions that by nature should survive (including disclaimers, indemnities, limits of liability, and governing law) survive termination.

8. Indemnity

You shall indemnify, defend, and hold harmless YSK Limited and its officers, employees, and agents from and against all claims, losses, damages, costs, and expenses (including reasonable legal costs) arising out of or in connection with your content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right. The Company may assume exclusive control of the defence. You shall not settle any claim that admits fault by the Company without prior written consent.

9. Limitation of liability

To the maximum extent permitted by the laws of Hong Kong, the Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for loss of profits, data, goodwill, or business, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility.

Without limiting the foregoing, the Company’s aggregate liability arising out of or in connection with the Service shall not exceed the total amount you actually paid to the Company for the Service in the twelve months immediately before the event giving rise to the claim, or Hong Kong dollars zero if you have paid nothing. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law, including (if applicable) death or personal injury caused by negligence or fraud. You acknowledge that the Service is offered on these limits and that the Company would not offer it on any other basis.

10. Force majeure

The Company is not liable for delay or failure caused by events beyond its reasonable control, including failures of model providers, application stores, payment networks, cloud or network infrastructure, denial-of-service attacks, changes in law, or labour disputes. Time for performance is extended for the duration of the event. The Company may discontinue a feature permanently if a supplier withdraws it.

11. Assignment, entire agreement, and severability

You may not assign these Terms. The Company may assign or novate these Terms to any affiliate or purchaser of its business without your consent. These Terms and the Privacy Policy are the entire agreement between you and the Company concerning the Service and supersede all prior statements. If any provision is held invalid by a Hong Kong court, the remaining provisions continue in full force. A failure to enforce a provision is not a waiver.

12. Changes to the Terms

The Company may amend these Terms at any time. The date at the top is the effective date. Continued use after that date is acceptance. If you do not accept an amendment, your sole remedy is to stop using the Service and delete your account. No amendment is valid unless issued by the Company as an updated version of this page.

13. Governing law and exclusive jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service shall be governed by, and construed in accordance with, the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong shall have exclusive jurisdiction. You irrevocably submit to that jurisdiction and waive any objection on the ground of venue or forum non conveniens, to the maximum extent permitted by law.
